-Perspectum to be a fully owned Datametrex subsidiary
Cost
purchase price of $3.0 million via the issuance of common shares. $500,000 worth of shares are to be placed into escrow, and released upon the new subsidiary achieving $600,000 in gross revenue.
5% TO BE PAID TO 3RD PARTY. 550,000 will be given for integration and for the purchase of another drone.

At the time many shareholders were baffled at this acquisition and Marshall claimed he took flack via interviews as investors don't see the reason behind it (myself included).

-As per Marshall needs new technologies for "portfolio".
-Perspectum acquisition is about the "COMPUTER VISION AI". The drone business is fine and self sufficient, which is great, but what DM is actually after is the software.
-They have many requests from the government / public/ private sector asking for this capability and can "plug it into" their current stack.
-Companies asking them to use their predictive algorithms with "video" which DM cannot currently do.
-Many new verticals using this "COMPUTER VISION AI" paired with DM software. Youtube live videos and predict what will become of based on video scenarios, take feeds from traffic cams and tell us what is the best way to route traffic based on XYZ, look at airplane traffic patterns and tell airport authorities the safest path for planes to land/ takeoff.
-Could be used for police/ search and rescue etc in the analytics pattern to determine where someone would enter, or exit a building and other situations.
-Can also be used in medical areas. As DM has foot in both doors AI and Medical wants to combine using this tech. Will speed up services compared to competitors.

-Regarding acquisition Marshall was asked if the video processing could be used for Deepfake scans. Marshall responded "Yes and no". It has all the underpinnings of deepfake, but its not specifically setup
as a Deepfake identifier. The building blocks are there, but it would need to be built upon, it wasn't designed with that in mind.

-Drone acquisition clarification. Its already revenue generating, focus is on leak or no leak for oil gas companies, however due to law changes in both USA/ CANADA the drones must specify exact details of volumetric information. Using imaging technology (hardware and software combo on these drones) they can gauge the volumetric information on leaks.
-The one piece of the puzzle DM needs is video analysis. This company is using AI in the video and analyzes which will open many more offerings for DM. New verticals.
-The video and Ai acquisition was a "no brainer" after seeing what it could do for DM.

If you ask me, hopefully they don’t acquire Perspectum as they Said they want because of their image detection AI … there are many more options to develop such a solution a lot cheaper …
1) open datasets
2) use open source algorithms to begin with. I found by a quick search round about 5,607 projects on GitHub

My Conclusion: Prospectum already is profitable and is running a self contained business with chances for additional revenue via a number of verticals.
Datametrex sees this acquisition as a "No brainer" quoted as least twice. Marshall states they can plug their COMPUTER VISION AI into their existing suite of software with clients requesting
this new vertical. In my opinion, though it costs the company money it does not need to be built from scratch and the wording from Marshall makes it sound like it pairs nicely with what
Datametrex already has.
Datametrex has cash on hand (it needs to use) and will dilute shares to make this acquisition.
Cleaning up the balance sheets and having cash is wonderful, but making M&A’s to assist future growth is exactly what Datametrex needs to do.
Will the exchange approve? We should hopefully get an answer as required by law per Marshall on Thursday Sept 30, 2021. It is not clear if that result will be released via NR on the same day or in future.
My expectation would be that the exchange will approve it.
It is still under the technology umbrella, would need a valid reason as to why it would not be approved, I can't personally think of any, though as
Torlif pointed out it could be due to Prospectum diversifying its verticals.
Marshall said the exchange keeps asking for more things to be submitted, and it has all been done.
