Consider someone or thing taking PXT private to be similar to an aquisition from another entity (I know they are different processes but the end outcome is the same, someone buys the shares). Essentially someone thinks they are willing to pay X $ per share so they can own the company/cash flow. In this case, we would hope the offer is a premium to the current market price. In this case, the price is about 3b today, but included in that you get about 350m usd cash and about 650m annual cash flow at current pricing.
The offer to purchase would be presented the parex board of directors and shareholders, and would require shareholder approval. In this case PXT largest shareholder owns 7%ish, and the stock is 54% held by retail investors, all of which would need to approve the aquisition.
