Captiva Verde has failed to issue shares to acquire Solargram despite the fact that all conditions for the shares being issued have been met (i.e. they have obtained necessary licenses).

It is Captiva Verde that needs to consummate the transaction.  Solargram are entitled to these shares but in my opinion have failed to meet their obligation.  

In my opinion, Captiva Verde has a decision to make.  Issue the shares and complete the transaction to acquire Solargram.  Atlernatively, don't issue the shares and you get the result as stated in the legal proceedings.



Further to what you are correctly saying, Captiva has Solargram on their books as a $4.2MM asset although they don't own it because the share weren't advanced.  If I'm not mistaken this is incorrect financial statements.  Monies advanced by Captiva should be posted elsewhere, possibly as a liability.  If that were true that would be an $8.4MM swing in NAV.
