RE:RE:DisclosureThis idiot's concentration on what material change and material information definitions are is merely a ruse. The TSX listing rules contain a complete document pertaining to disclosure. The first paragraph of the document reads as follows.
It is a cornerstone policy of the Exchange that all persons investing in securities listed on the Exchange have equal access to information that may affect their investment decisions. Public confidence in the integrity of the Exchange as a securities market requires timely disclosure of material information concerning the business and affairs of companies listed on the Exchange, thereby placing all participants in the market on an equal footing.
The remaining 16 pages of that document outline the details of this requirement to disclose information. It goes on to state that Canadian Securities Commission 51-201 pertaining to disclosure standards contain the legislative disclosure requirements, and the TSX expect listed exchange members to comply with these regulations as well as TSX disclosure rules.
Your interpretation of Material facts and Material change are flawed. Here is the TSX's description of them.
"Definition
Material information is any information relating to the business and affairs of a company that results in or would reasonably be expected to result in a significant change in the market price or value of any of the company’s listed securities. Material information consists of both material facts and material changes relating to the business and affairs of a listed company."
To somehow convince yourself that corportations do not have to disclose information that will or can reasonably be expected to affect the price of the company's securities is assinine. You are like an anti vaxxer. You will convince youself that companies do not have to report whether the rules say so or not. If that is not the case, then I suspect you are illiterate, as all you have to do is read the TSX policy document. It is clear.
