RE:RE:RE:RE:RE:RE:RE:Xbc news of acquisitionI understand what you are saying but you can still arrange the finalizing of the deal for a day that is favorable to your company no? Like close to earnings? I don't know that timely disclosure would mean 1 day I would imagine that legal term could be up for debate I can't seem to find anything that specifies a specific time frame. I don't think the downgrade was a specific reason for the news but who knows maybe they planned to release Thursday morning and after seeing the analyst downgrade upped it to today just a passing thought not dwelling on it.

Your thought that this deal was signed and sitting in someone's pocket is far fetched. You acutually think that they released the news 1/2 hr before the trading day was over because some analyst downgraded the stock earlier in the day or yesterday? Was the stock tanking (no it wasn't) before they released the news, so they decided they had to counteract that effect?

Is there an issue if those sitting on the other side of the table would have an advantage if this news wasn't disclosed in a timely manner? It's unsual that with 1/2 hr to go in the trading day they released the news. I would tend to think that meeting timely disclosure requirements was the motive rather than counteracting a analyst share price downgrade that had no effect on the share price of the stock.
