RE:RE:Do I Think ACDC Will Merge With Daymak
nnwzz why did ACDC have to form a subsidiary ionix pro? That is as direct of proof you can get!! But what I am looking for and cant find is where the share exchange consideration was made with Daymak and ACDC someone posted it that seems to me being a set up to all this. Bottom line I have been involved with many pennies and only a handful with subsidiaries which inevitably got spun out. There is no reason for ACDC to form a wholly owned Ionix Pro subsidiary unless it serves some sort of independent purpose and instead of having ACDC shares keep blowing up as they are better to have a second listed company that raises it's own monies and funds so as to stop the huge dilutions in ACDC it doesnt make sense any other way and that is why I can fully see see the planned 600 million shares as ACDC really should not need to add anything more than what they now have as I said it is time for them to start putting the break on things and fully finish off what is now existing. I bought shares in New Wave Spor which acquired Wow and is in a joint venture with Bloom. They had to keep raising monies and decided to do a 20 to 1 consolidation even though I didnt see a need for such a massive roll back as they were only around 100 million shares that roll back effectively took the shares down to 5.5 million shares with 74 plus million reserves for issuance. They still have to get the shares to people as a payout in kind at .8 per share to holders. My very limited holdings of 3200 got nailed to 160 and once they get their act together I should be receiving about 128 shares of Wow. They did a raise at.35 so I am wondering if they are trying to get an IPO of wow around that price or higher. I see that with the amount of shares taken out they will likely a quite Bloom as they did Wow but hopefully they dont blow up the shares to 100 million plus and roll back again. But there is no reason why I can see ACDC creating a wholly owned subsidiary unless there are tax benefits capital raise benefits as well as cutting share dilution. It doesnt make sense otherwise to me actually that is why I said it is likely and where I am getting this from. When people create wholly owned subsidiary it is so they operate at arms length and not tied directly to the main company it is also legal protection as to my knowledge if someone is looking to say sue a company and it is directly involved in a case a litigant can not otherwise sue its wholly owned subsidiary unless it too was directly involved for the litigants wrong doing so this is a way to offer extra layer of legal protection. In any case I strongly believe this will happen in a matter of time where Ionix Pro will be publicly trading however it isnt a 100 percent guarantee but from what i have seen and for the reasons I am giving I feel there is an extremely high probability it does happen and makes tons of sense. So far you have Ionix Pro for the charging wall the batteries and it seems like pretty well everything which can then leave ACDC as I said to focus on other jv maybe dealing with Robe2 I dont recall it being part of Ionix Pro but it seems to me it may become a holding company which if we look at its history it partnered with many people which in my opinion makes it a holding company but as it had the more solid focus it now narrowed its focus etc and formed the subsidiary for the collection of products that are being worked. Well that is my two cents as to why I said what I have...the company forming Ionix Pro as stated up at top single most strongest proof for it although remember I said it is very likely with a strong probability down the line but I also said it is not 100 percent guaranteed...I put the probability at 90 percent from what my gut intuition is telling me otherwise why bother branding like that? Why not call yourself ACDC with Ionix Pro product line???
