ProspectusI have been struggling through the prospectus for stock offering and can't see where they can adjust the price of the shares from $24.55. I can see where the underwriters might adjust the price but that they would have to take the loss. If anyone sees this differently please say so. I can see where the conversion price for the debentures would be allowed to be changed.
In connection with the Offering and subject to applicable laws, the Underwriters may over-allot or effect transactions that are intended to stabilize or maintain the market price of the Offered Securities at levels other than that which might otherwise prevail in the open market. Such transactions, if commenced, may be discontinued at any time. The Underwriters propose to offer the Offered Securities initially at the prices specified above. After the Underwriters have made a reasonable effort to sell all of the Offered Securities at such prices, the Underwriters may decrease the Offering Share Price and/or the Offering Debenture Price and may further change the Offering Share Price and/or the Offering Debenture Price from time to time to an amount not greater than the Offering Share Price and/or the Offering Debenture Price, and the compensation realized by the Underwriters will be decreased by the amount that the aggregate price paid by purchasers for the Offered Securities is less than the proceeds paid by the Underwriters to the Company.
