Holland Xebra’s Dutch project (the “Dutch Project”) is carried through its 75% owned European subsidiary, Xebra Brands Europe BV. Xebra’s interest in Xebra Europe can be increased to 100% under certain conditions, including dilution and buy-out clauses. Xebra’s 25% partner provides vital local knowhow and support, and has been essential in navigating government regulations and in the application process. The Dutch government has selected Xebra as one of five parties that are authorized to participate in medicinal cannabis cultivation trials. Two of the five parties will eventually be granted licenses for a four-year contract with the Dutch government. The two parties will supply the entire Dutch medicinal industry, including sales through pharmacies. Annual volumes of 5,000 kg of products will be sold at a fixed price of €2,350/kg under the four-year agreement with an optional two-year extension, resulting in a total sales value of the contract of approximately €70.5 million. The final two license holders will be selected based on their Plan of Approach and on the product quality and consistency of three trial crops to be cultivated starting in December 2021. In October 2021, the Company completed construction of its indoor cannabis growing facility in the Netherlands. The facility is over 2,000 square feet, located 100 kilometers east of Amsterdam, Netherlands. The facility provides for exceptional scalability, with the Company being able to increase its operations in this facility up to 100,000 square feet if and when the Company decides to ramp up production. The facility features four smart automated cells; three for production, and one for propagation, with new state of the art equipment, including computer-controlled HVAC for heating, cooling, humidification and dehumidification. In addition, irrigation in each cell is also computer controlled.
