She would have been a FOOL not to sell the shares. She would have had an immediate TAX LIABILITY for the exercise but NO REALIZED CAPITAL GAIN. She could never claim a capital loss if the share price went  down. How would you like to pay tax on something that you don't have?  It's not like she bought them and then decided to sell them. In that case I would be more concerned. Ask your broker about this..... ;)
