Manos overboard?Continuing our theme of "Obligations of Corporate Directors to Employees in the Province of Ontario," I'm taken aback to see that all of a sudden Mr. Manos Pavlakis is
no longer listed as a company director on the Media Central website. Wasn't he supposed to be the board chair?
And isn't Maria Micieli, the Media Central Corporate Secretary, an employee of Nobel Precision, where Mr. Manos is the President & CEO? It appears Maria is no longer listed on the MC website as Secretary of the BOD, although you can still spot her listing on cached earlier pages.
A curious development, if Mr. Manos and Maria have gone into hiding. But maybe that's not the case. Remember last month, when "president" Kirk MacDonald scrubbed all mention of Media Central from his LinkedIn profile, and proclaimed himself "available for work"? Perhaps he was just testing the waters.
Or perhaps it's something else. Maybe -- just saying -- no one wants to get stuck with those employee salary and benefits obligations.
But, sans Mr. Manos, there are still two directors on the hook at MC.
One is the recently appointed Ms. Carolyn Wall of New York City. She is chair of the Audit Committee. But didn't the company's auditor just resign, along with the CFO?
So, the last director standing could be David Daniels, owner of Epic Lighting and Electrical Devices Inc. Presumably with his business background DD will know how to turn the lights off, after all this ends.
One other oddity on the MC website: There's still bold talk about "the development of new digital products such as Creator News, a news aggregation software dedicated to optimizing the curation of international arts, culture, and lifestyle content." But, Creator News isn't part of Media Central, remember? It was pitched to investors as a new MC product, but then the insiders decided at the last minute to keep it private, for themselves. Do you suppose that might have been too much for the auditor?
Finally, we'll return to an earlier question: What is Kirk MacDonald's current residency status in Canada? He emigrated to Canada in 2015 to join Star Media Group, presumably on a work permit visa. Eleven months later he abruptly left the Star "in order to pursue other interests." Typically, work permits are tied to a specific employer. It's doubtful that he has an Open Work Permit, as these are rarely issued. So, FLYY shareholders, let's revisit this very basic question one more time: Is Kirk authorized to be employed in Canada, where Media Central has 100 per cent of its operations?
