If your claim is actually true then why can we not take legal action against them!
I am actually interested to know how this works?

Can you elaborate on your statement so I can understand how they make money on buying at $2.65 and then shorting the stock. And how everything goes to plan and everyone sells to follow the plan?

Not trying to be smart. Just trying to understand what could be going on?

It's a common tactic that before a bought deal, the company doing the bought deal will short the stock at a higher price. The company doing the bought deal is then certain to make money since they cover their short with the bought deal (which explains why they would use the over-allotment even with a lower share price). They also get free warrants on top of it all.
