According to the trust Indenture, it's need 90 % at least post-transaction for a take-over but it's not question of take-over here.
 
It's question of making changes to the trust Indenture. It's need 66.67 % of casted votes.
 
Unfortually, there is an unknown quantity of casted votes. But theorically, if glencore vote no and everyone else yes, it's need 25 000 001 shares.
 
12 500 000 voting no
25 000 001 voting yes.
 
37 500 001 casted votes.
 
49 989 975 total shares.
 
No : 33.33333244444447 % of casted votes & 25.00501350520779 % of total shares.
Yes : 66.66666755555553 % of casted votes & 50.01002901081667 % of total shares.
 
As you see, the less voting no, the less is needed to pass a Special Resolution.

It's all depend how the 12 489 974 shares is voting. If they don't show up, the situation doesn't change, if they vote 100 to 33 % no, it's not pass and if they vote 100 % to 66 % yes, it's pass.
