I have a few questions about the worldwide exclusive conformal coating commercial licensing agreement that Sernova signed with the University of Miami.
1) Is this agreement with the university rather than the developers such as Dr. Tomei? Or are all the parties involved to varying degrees?
The University of Miami license agreement is with the University of Miami. The inventors including Dr. Tomei are listed as the inventors. This is standard with University license agreements.
2) Being exclusive, does this mean that the university cannot sell the technology to another company that might compete with Sernova?
Sernova owns the exclusive world wide license to the Conformal Coating technology and no one else can use it.
3) Is the university/Dr. Tomei still working to improve this technology? Is this for the exclusive benefit of Sernova?
Sernova and the University of Miami have a collaboration with Dr. Tomei’s laboratory to combine the conformal coating technologies with cells and Cell Pouch. We are working within the patent technologies and the combinations and this is for the exclusive benefit of Sernova.
4) Can the university through its Diabetes Research Institute (DRI) and BioHub become a commercial entity itself that could use the conformal technology and/or their other developing technologies to compete directly with Sernova?
No, they do not have rights to use the technologies we have licensed for commercial purposes.
