Using proxy voting to take control of meetingThe standard voting instruction form sent by your broker allows you to appoint a proxy by writing in their name. In my form from TD it is found in "Step 2: Appoint A Proxy (Optional)". If people here wanted to join forces, all they would have to do is agree on a representative to go to the meeting, write their name in the form, and send the forms to that person. The two big benefits of doing this.
- The proxy could vote against a trustee, instead of simply having the option of withholding (which is the only option if you give management your proxy). Enough votes against a trustee would guarentee that they would have to step down.
- The proxy could vote against adjourning the meeting, a strategy apparently used in the past by trustees to ensure that the vote goes their way. If the meeting ends without adjournment, management would not have more time to rustle up more votes. Any proposals that do not have enough votes would be defeated, if the meeting is not adjurned.
I'm probably too late in suggesting this for this coming meeting (I just became aware of it on Friday, when my papers arrived), but proxies could be used at the next date, if this meeting is adjurned. Or it could be used at the next meeting (unless insiders have locked up control by then). I thought I'd bring this up because, as others have observed, there just might be enough votes on this forum to control a meeting.
