Convertible Equity?????

Convertible Equity?????The last I looked PHD is not a start up and Convertible Equity Financing is often used when a company is insolvent or facing lawsuits nearing insolvency.  I might be wrong as I have no experience with company's do a convertible equity financing??  If I owned shares though I would be worried!
