Company Has To Disclose Tomorrow, Tues Open @ The Latest "the final payment and JV closing in October, 2022"....

Proper disclosure would require a N.R. to confirm J.V. terms have been completed, 

or dissolved per last extension deadline.

If there is an additional extension in negotiations, that should be disclosed.
