OSC Response

OSC Response

Thank you for your email to the Ontario Securities Commission (OSC) concerning Turquoise Hill Resources and a proposed transaction with Rio Tinto International Holdings Limited.

Although Turquoise Hill Resources is a reporting issuer in Ontario, their principal regulator is the Quebec securities regulator, the Autorite Des Marches Financiers (AMF).  Here is a link to their website and contact information: https://lautorite.qc.ca/en/general-public/registers .

In matters involving securities law, the principal regulator leads any potential review and coordinates its activity with other regulators, as appropriate.  I have forwarded your email to the AMF for their reference as well.

If you have not already done so, you may wish to review the news release from Turquoise Hill Resources dated Nov. 7 on this matter, indicating ongoing discussions about the transaction with the AMF.  This news release is available on the website of the System for Electronic Document Analysis and Retrieval (SEDAR), at www.sedar.com

If you have any questions about this information, you are welcome to contact the number below, and we would be happy to help.

Sincerely,

Barry
