There are indeed (or were at the time, anyway) a few factors that could result in an appraised fair value over market price, but it would be a big, expensive, and very much uncertain fight to convince a court to adopt them.

If you knew you were going to do (or would have to do) something like this, might you slowly push the SP down for say a year or so, even at the cost of some loss. And if you were doing that, you certainly wouldn't be buying shares. Now, you might give yourself some cheap options, but you know... Anyway, it sure would be nice to know we have such clever 3D chess players at the helm because just imagine how successful the company might be if they turned their minds to running it!
