DSU and RSU

DSU and RSUHello,

Was looking at the financials.   We have 40 millions (DSU/RSU) vested for 2020.   So the way I understand it,  Sherrit will have to pay 20 millions DSU * share price  and 20 millions * share price but ajusted for stock performance and company performance.
The note on the financials indicated that most are vested.
Question,
A) Date
At what date is the stock price calculated.   From management information circular, it appeared to be be around February 22. (5 days moving average).  Is this correct ?
B) RSU
     Pretty sure that they will earn 100% of company performance.  
     What is the basis for the share price ?
