Bioasis Technologies Inc. is a Canada-based biopharmaceutical company focused on research and development of technologies and products intended for the treatment of patients with nervous system, including central nervous system, diseases and disorders. The Company is engaged in the development of its xB 3 platform, which is a peptide-based technology, for the transport of therapeutic agents, in particular biological products, across the blood-brain barrier (BBB). It is focused on both orphan drug indications, including brain cancers, and rare genetic neurodegenerative diseases and neuroinflammatory conditions. The Company is also focused on its Epidermal Growth Factor (EGF) platform for treating rare and orphan neurodegenerative and neuroinflammatory disorders. EGF is a protein that stimulates cell growth and differentiation, notably for myelin producing cells. Its development programs include xB3-001: Brain Metastases, xB3-002: Glioblastoma and xB3-007: Neurodegenerative Disease.

This is false. I am not a part of the sellout and I have fought for years against a sellout.
 
I was speculating about a sellout at this time almost four years ago. I was doing everything I could to warn people of it.  During February 2019 I was on the phone for 12 to 16 hours some days, talking and exchanging emails and texts with as many as two dozen shareholders, including brokers, Mark Day, and former management. And it it's all documented.
 
Most of us either wanted, or were considering, the calling of a special meeting to vote the BoD and management out and to form an executive committee for the purpose of electing new officers and BoD. Securities lawyers were discussed and legal costs researched. 
 
Finally, on Saturday, March 9, 2019, Dr. Deborah Rathjen called Rob Hutchison and convinced him that she could run the company, and would get rid of Mark Day in the process. Rob Hutchison apparently agreed and likely convinced others that this was the way to go. By the end of the day support for an executive committee had crumbled.
 
I was mortified and I made it clear that I thought Bioasis should clean house and start anew. I was accused by a broker of seeing "black helicopters" everywhere. I was told that Rathjen had the support she needed, as board chair and with the support of the board, to fire Mark Day and to become CEO.
 
On Monday, March 11, 2019, Bioasis announced the changes, Mark Day out, Rathjen in as CEO.
 
I have fought and argued for a long time, both publicly and privately, for better management of Bioasis. I supported Rathjen as CEO because, like most other shareholders, you have to deal with what you have, not what you want. I always figured, as I posted earlier, how hard could it be to strike licensing and other business deals with xB3.
 
But as time went on, I realized how bad things were. I criticized the Chiesi deal, $3 million for four LSDs, a low single digit percentage of what they are likely worth. I saw mistakes (GABA-a), carelessness, poor disclosures and a gradual withdrawing of DrDR from view. I reported over a year ago about the decline in attention being given to xB3. I speculated that the Cresence deal was signed for purposes other than described publicly.
 
And after all of that, beenthere says that I'm a part of the sellout. This is an unequivocal and purposeful lie coming from a person who claims he doesn't read my posts. 
 
I consider it to be defamation. The statement is about me and it is defamatory, it is demonstrably false, and it has been communicated publicly to many people. The same is true for the many times beenthere has called me a liar. All of the requirements are there for a case to be brought for defamation. I consider others to be in the same situation as beenthere.
 
I have legal help and counsel available to me and I will be using it. I can back up my claims. And because Bioasis is finished, I cannot further hurt shareholders by my actions.
 
This is not a game. People have been hurt and beenthere and others have accused me of wrongdoing with respect to the pain that shareholders have suffered. I would contend that beenthere and others have hurt Bioasis over the years with their trolling always keeping conversations negative. The resulting low share prices have likely prevented Bioasis from doing equity financings that could have helped shareholders.

There are all sorts of reasons for legal actions surrounding Bioasis, its management and certain shareholders. I will likely be in the middle of it but my guess is that I have the best records of anybody in this miserable Bioasis story.
