(a) At any time prior to the Stated Maturity of the Notes, the Company may redeem the Notes, in whole or in part, upon not less than 30 nor more than 60 days’ prior notice mailed to each Holder or otherwise in accordance with the Applicable Procedures at a redemption price equal to (i) the principal amount of the Notes being redeemed, plus (ii) a premium equal to seven percent (7.0%) of the aggregate principal amount of the Notes being redeemed on such redemption date (the amount of such premium being, in each case, an “Early Redemption Premium”), together with all accrued and unpaid interest on the aggregate principal amount of the Notes being redeemed (excluding, for greater certainty the Early Redemption Premium), if any, to (but excluding) the redemption date (subject to the right of the Holders of record on the relevant Record Date to receive interest due on an Interest Payment Date falling prior to such redemption date).
