Who gives up $68.25 million and why ?

Who gives up $68.25 million and why ?The Rolling Shareholders are giving up that much money by agreeing to a lower price for 45% of their shares.

I hate to be cynical but, people as a general rule act in their own self interest so, you might conclude that the 55% of their shares being rolled over into the new company are going to be worth much more than $68.25 million.

This doesn't look good , ethical(?), for  Messrs. Jad Saliba and Adam Belsher and associates and affiliates thereof (collectively with Mr. Jim Balsillie and his associates and affiliates, the “Rolling Shareholders)

Treat all shareholders the same ; I can see why Nellore Capital is upset.
