Role of an Independent Director

Role of an Independent DirectorI am kind of intrigued by an Independent Director.   Independent Directors are usually appointed to handle conflicts of interest within the management.  On the other hand in a M & A  scenario to generally study and report to both parties.  1. They usually have no financial stake in the company.  2.  They do not report to the current management.  3.  They cannot be influenced in their judgement about the company.  4.   They are expected to make recommendations on the Strategic growth, funding and all the important functions including costs and remuneration to the Management!!

Am I the only one here thinking that an indpendent Director has been appointed by a company that is interested in a JV to assess and scope the future development prospects.
