I haven't seen it either and you're right, any company including TCF , that doesn't have one should put it on the agenda for next meeting. They could even do a "subject to shareholder approval" announcement after a regular board meeting. Then if they are attacked they can immediately go for the special shareholders meeting to approve and request court to delay or cease trade any hostile activities until vote. That's what I'd do unless they already have one
