Nighthawk Gold Corp. is a Canada-based gold exploration and development company. The Company is engaged in the identification, acquisition, exploration, and evaluation of gold properties. The Company owns 100% ownership of more than 947 square kilometers district scale property within 200 kilometers (km) north of Yellowknife, Northwest Territories, Canada. The property hosts the Indin Lake (Archean) Greenstone belt. Its Colomac Gold Project is a large-scale, open-pit gold project in the Northwest Territories, Canada, about 200 km north of the capital city and mining hub Yellowknife. The Colomac Gold Project represents a series of high-grade open pit gold deposits, and gold mineralization remains open on all directions. @milocat you're right, under the circumstances gold has performed extremely well. And as we roll over into a recession rates will cool and the cost of carrying investments like gold will drop-this has always been bullish and, as you say, we will be starting this leg of the bull move from a near record high. More specifically and perhaps more importantly we offer a proven deposit in a stable country with substantial exploration upside-we just need to stick to the plan and execute!

@TonyLovesGold So it looks like they only sold about 1.6m of the roughly 6.5m shares that were available as an option to the underwriters. A little less dilution than I thought there would be. I am guessing we will have right around 150m instead of 155m shares outstanding and zero warrants out if we stay under $1.05 C until next May. As the last of the warrants expire in May 2024. I am also guessing that we now have $20m C give or take a couple million.

@TonyLovesGold Time for drill some results next week. We have not seen a single hole from the 2023 campaign yet put out in a press release. I bet we see some continued nice intercepts at Cass. Let's GO!!!

@TonyLovesGold So far picked up 1,710 shares at $0.33 US this morning. Still have 500 shares not filled with my open order at $0.33. Let's see if they fill. If not I will bump it up a bit....Time to buy ladies....I guess we will soon find out who participated in the raise....

@TonyLovesGold I was told by our head of IR Mr. Candelario today that no insider or Mr. Cudney participated in the offering. They all rather buy in the open market as they have consistently done in the past as it creates a "bigger impact" on the stock. He pointed out that they were happy to buy shares up at $0.70 not to long ago and do not mind creating liquidity and taking out any overhang. He also pointed out that "the other large shareholders where the big participants in this financing". So I guess we may see some buying by insiders now that the financing is done and they can do so. He also mentioned that there will be drill results coming out soon. Hope this helps. Nice weekend my friends....

@milocat actually that's great news. I was concerned when I read the speculation that results were coming shortly, no corporate officer is going to want to explain why the insiders papered themselves up just prior to big positive news. This clears the way for good results to be released. And regardless of the timing, its great to see our insiders in the market buying alongside the public shareholders. Anyway you look at it, this management team is showing how confident it is in this project.

@TonyLovesGold Hey Milo. I so hope I am wrong but I personally do not think we will see any earth shattering drill results. I think it will be more of the same steady results that this huge property has given us in the past. Cass will stand out followed by Leta Arm and perhaps some greenfield targets. If they had something spectacular would you not think that they would put it out before a raise? Do not get me wrong. I am just as excited about NHK (especially down here) as I have ever been. I do not expect 25k meters of drilling this year. I say they do something around 15k meters. It seems like they are being frugal, very precise and measured in everything they do this year. Patience is all we need. I will likely add a bit more mid month..

@milocat we are all just guessing here but I suspect- pure speculation-that the results will at least modestly exceed expectations. I base on nothing more than the fact that they are getting more and more familiar with the geology. This is not a grassroots project-they have a database complied over close to forty years, including several years of production, to guide them-my feeling is that we are going to start to see some benefit from that. And as we start to see consistently better results we will see an uptick in M&A interest. This is not an exploration play!

@TonyLovesGold  Hey Milo. I honestly do not know what expectations are as far as this years drilling. Do you? They have been drilling since March and 4 months later we have not officially seen a hole. I say officially because I was told that I was correct a while back and the PEA did contain some 2023 Leta Arm holes. Not in the PEA numbers but in the long, detailed report they put out. I honestly think they will put a good bit of holes out this month. I cannot remember the exact date but I posted those Leta Arm holes here...

Here it is with 3 holes from Leta Arm from 2023 at the bottom: "2023 Drilling Program In the winter of 2023, 21 holes were drilled at the Leta Arm zone. The aim was to test near surface mineralization along strike from the historic drilling at North Inca and Diversified. The drilling tested the continuity of the shear zone over 2 km with wide spaced drilling, and the influence of secondary structures on mineralization. Holes NI23-03 and NI23-04 tested the orientation of mineralization at North Inca West, where quartz veining is hosted in mafic volcanics parallel to the main Leta Arm shear zone. A total of 4,555 m of drilling was completed, 6 holes at Diversified and 15 holes at North Inca. The results of the drilling confirm the orientation and location of the Leta Arm shear zone between North Inca and Diversified zones, and the occurs of gold mineralization along the structure. The highlights included from North Inca are as follows: • NI23-04 20.50 m at 2.84 g/t Au, including 6.00 m at 7.67 g/t Au • NI23-09 16.55 m at 1.38 g/t Au including 2.65 m at 5.68 g/t Au • NI23-15 0.50 m at 10.75 g/t Au and 4.90 m at 2.09 g.t Au."

@TonyLovesGold I believe that there is a good chance that there was some insider buying this past Friday Aug 4th being that it was made public that the raise closed that day and it traded over 3X the average daily volume. We will find out soon if I am correct. Regardless, I expect some insider buying in the coming weeks...

@milocat do not overlook the fact that this was what is known as a "bought deal" financing, the underwriter buys the stock from the company then resells it to their clients. If there is a lack of demand the brokerage firm has to eat the unsold inventory-for that reason bought deal financings are uncommon in the volatile world of juniour mining stocks. Large utility companies routinely use bought deal financings, penny golds aren't usually offered that choice. The stock was on a tear from Oct to May, up about 250%. Management was aware that they needed more capital at some point and pulled the trigger to take advantage of market conditions-but the underwriter would have insisted on a price that removed any risk for them. Predictably this was a bucket of ice water on the SP but nothing has changed fundamentally-the market was quickly awakening to the potential of NHK and I expect that process to continue now that the capital needs are off the table for another year or so, perhaps forever.

@milocat Thank you Tony-this is one interesting company-a juniour with all the positive attributes of a senior! The best part is that I can see the potential of a huge payout, without a lot of risk. We have a proven deposit that more than justifies our current market cap, and eventually with a positive PFS we have the huge upside that we all play penny mining stocks for!

@milocat very difficult to understand whats holding the SP back at this point. Its summer and the overall market is bad but the fundamentals are absolutely screaming buy. A few years ago I was perusing a Sprott report on another company-it featured a table of comparative price per ounce of reserves. Back then we were near the bottom with laughable price per ounce in the ground. If memory serves we are trading at a lower price now and have found substantially more reserves-at the same time the world has become a far more dangerous place where we should be seeing a growing premium for safe jurisdictions. If anyone deals with Sprott and they still provide the same data perhaps you could share it.

@MadMardiganRisk because no one likes gold stocks and the love for juniors is even worse than profitable producers...seems like it is mostly the die hard gold bugs ( small number of ppl) who are buying these stocks...or some others join for short term trades--long term holders are rare

@milocat I would add to my previous post that the price of gold was lower-at that time one major brokerage had a $4+ target on us!! $4 back then, now we have higher gold price and we have proven up much more of it and we are struggling to hold 10% of that earlier target price. Oi vey.

@xyz Not a fan of cheerleading even when I am invested in a company. I can understand the markets reaction, the targets at Albatross were basically all misses and we drilled mainly thin veins and only the highlighted intercepts are worth to mention from 3 out of 29 holes. Also no connection between the pits. Maybe better intercepts deeper, but probably not worth spending the money for it now. There are probably better targets. So just based on this news there was no reason to celebrate this intercepts imho. The good thing is we have more to offer … after the news is before the news.

@TonyLovesGold Things (sentiment) can change on a dime here Mad. I have seen it multiple times over the past almost 3 decades following these stocks. When the price of gold finally breaks out (I know we have been saying this for years but this time we are at a much higher base to start from and close to an all time high) then theses stocks will not only perform but outperform. We need patience and lots of it when you are invested in this sector. Buy a quality, proven explorer, buy dips and sell when the company changes hands. If it does not change hands before production then you have to use your best judgement.. As far as NHK I am not getting off of this ride until our BOSS does....

@TonyLovesGold Agree xyz. These guys are in what I would call frugal mode this year making this PEA and coming FS as economically viable as possible without hitting us with more dilution. There will be more dilution next year barring a sale but I believe that they are using this year to mostly continue defining Kim and Cass and perhaps hit a home run (very unlikely) at a greenfield target. In my honest opinion they are studying what they have at hand so far after these past few years of drilling and again squeezing every penny out as far as NPV.

@milocat xyz-I share your disdain for "cheerleaders", I was a broker for 30 years and can attest that they are a unnecessasary, and dangerous, component of our markets. I am not a technical person but I do believe that I have a reasonable grasp of the fundamentals, at least the financial ones, of the industry and I try to stick to the facts. Royal Oak was making money from this operation in the early 90s at a much lower price of gold, even after adjusting for inflation. Gold took a massive dump in the 90's and the operation was financially unfeasible and shut down-thereafter it was discovered that rather serious shortcuts had been taken in regard to such things as cyanide disposal. The price of gold today, again after adjusting for inflation, is substantially higher than it was in the early 90's. The simple fact of the matter is that this operation today would be much more profitable than it was in the early 90's. Even after accommodating higher costs to ensure the environment is protected this project should be highly profitable. Not cheerleading or fortune telling simply using todays prices and the forecast production numbers. If the PEA is anywhere near accurate this project is going to be transformational for the NWT. Bottom line, at this point I would suggest that its highly likely that this project is going back into production-its going to be a win, how big still to be determined. POG could collapse or the government could be replaced by the Green party but I like our odds at this point.

@TonyLovesGold Some decent drill news today. Kim and Cass will be a large part of this project when all is said and done. Near surface, high grade is what we need to increase the already great economics put out in the PEA...

@TonyLovesGold Market cap is right around $46.5 US. Incredible value for an explorer with over 5m ounces discovered in all categories. Also LET US NOT FORGET that at $2,000 gold US this project has an NPV (5% discount rate) of $2 billion Canadian and an IRR of 56% both AFTER TAX...UNREAL VALUE here at 1/43rd the price of what I mentioned above....Let's GO!!!

I am willing to bet we will see that some insider buying has occurred after the announcement. Especially yesterday and today. May not be much but there is buying. Time will tell...

@TonyLovesGold Hey Mad the public will buy when the company comes out with SPECTACULAR numbers as they did with the PEA. Those who wanted out at $0.70 Canadian could have gotten out if they wanted. The CudMan sold 917,000 shares at $0.70 Canadian without affecting the stock price back on May 4th of this year. If you want to play this game short term you have to take advantage of liquidity events on news. If you are a long term holder you buy the dips and be extremely patient. That is how this game works. There are EXTREME dislocations (I love these) in the true value of a property or project and where it trades at in this sector. Again if you have the patience to hold and the STONES to buy and take advantage of a bargain when no one wants it then you have a good chance of making some cash. If you do not then sell and move on. Just stating the facts when you are dealing with illiquid equities. They will let them bleed to make you fold. I choose to buy in these cases and see what the future holds if you truly believe as I do in NHK at this market cap....
