RE:RE:RE:offering , correct date no INFOFarm, it's a good thing it's jyho, because as much as I hate to admit it, RapidSx is correct. This is just a U.S. SEC form filed in conjunction with the July private placment. It is not a new offering.This is copied from the press release issued by Ucore on July 27.

A certain insider of the Company purchased a total of 200,000 Units ("Insider Units") for gross proceeds to the Company of approximately $200,000 under the First Tranche, which is considered a related party transaction within the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101").

Now look at item 13 of the SEC Form D.

Total Offering Amount equals price of units (200,000 x C$1.00) plus exercise price of the shares underlying warrants (100,000 x C$1.25) sold in this offering. No guarantee that warrants will be exercised. (CAD$1.00=USD$0.7575)

The Form D was most likely required to claim an exemption for shares purchased by Randy Johnson.
