If I may, I posit the short version of what you said is:
"The board needs to do its job and fire Gilles Gagnon."
A shareholder vote is NOT required for that to happen... All that is needed is a competent board who is not being paid to look the other way to understand what is going on and DO ITS JOB of governing.
It's as if the board thinks THEY report to the CEO, Gilles Gagnon. (Gilles, I know you think that is the case but you have it backwards.)
