If someone opted to sell their shares (at the new higher price) before the deal closes, they would miss out on the potential that another company comes in and bids higher!
I'm sure someone else can describe the various possible scenarios more eloquantly than I just did.
But it's of no concern to me that the meeting wouldn't be for another 60 days.
