Life deal is contingent on the US deal closing

So if the US Maxim deal doesn't fly,there will be no Life offering..
Makes sence, given that there is a condition in the LIFE offering that POEt has to demonstrate and prove that they have 12 months worth of operating cash on hand to stisfy one of the terms in the offering.jmo
