Re the management information circular: Why is Mr. Billings, Chairman of Fancamp, who lists his main occupation as President of Auxico, TSX.V.:AUAG eligible to be a nominee as director when AUAG is in a trading halt since Dec. 14th 2023!?

Additionally why is it okay for Sharma and Chapman to be cleared under the Management Cease Trade Order section (within the last ten years rule) just because it is stated as in "except what is stated"? Just because it is stated should not make them exempt from the rule in my opinion.
