RE:Proxy Firm ISS recommendation Makes me wonder if THNK's board and management team are feeling nervous that investors might reject the Beedie offer. Let's be clear that management is likely much more in favour of the Beedie deal than one from another bidder (even at a higher price) as the former protects their jobs and the later likely results in their termination as part of creating synergies and/or as part of replacing the current management team with one that is competent.
This is the last week for the go shop period. Time will tell if another bidder surfaces and/or Beedie sweetens the deal to get more shareholder support. While I still see a greater than 50% chance of another bid (which statistically is high compared to most go shop periods) I also recognize that managements lack of accountability in the past might also mean that SA has grossly exaggerated the company's pipeline, pipeline maturity, and business growth prospects. If no other bid surfaces that'll be evidence to me that management has indeed been misleading investors.
