Nothing is final until the deal closes in late 2024/Q1 of 2025 as stated in the NR which you should read in details anyway. The breakage fee for NVEI is US$150M, and for Advent is US$250M. That is the deal unless a white knight comes along in the mean time.

TD did the valuation of FMV between US$33 and US$42. Advent's offer is at the low end.
