page 5 of the information circularSays that  if  any director  has  more  than 50%  of their  vote  withheld they must  resign per  TSX policy .  After  that    a weasel word salad  says that  in  effect    the resignation won't necessarily   be accepted  .   The  fact  that  they  put this  in  the  circular  seems  to  indicate  they think this  is a possibility.  A  few   years  ago  a  former  company  called  Spyglass  Oil and  Gas  had  some directors  vote  withheld  by   more than 50% . However  none resigned ,  till  it  went  in to  receivership  a few  months  later ----not  a circumstance this company is facing.
