Usually the buying party would pay for the spin out. So there would be no problem in regard to a spin out from teuton's perspective.

If there is a cash transaction purchase of treaty creek from teuton itself it should result in taxation issues for teuton. It maybe better that the shareholders get the tax issue and the full value of the purchase price....

that is how i understand the issue... However it is just my opinion.
