No Qualified Bidder Bid Protections:

Each Bid, other than a Bid that has
been designated as a Stalking Horse Bid (as defined herein), must include a
statement that the Bid does not entitle such bidder to any break-up fee,
termination fee, expense reimbursement, or similar type of payment or
reimbursement and a waiver of any substantial contribution administrative
expense claim under section 503(b) of the Bankruptcy Code related to
bidding for the applicable Assets;

open bid - nobody leaves the room when bidding starts or the sealed (theoreticall) bids are opened.

i.e. the NJ Municipal Bid Method.....
