Everyone will find out more when the meeting info comes out on Sedarplus. 
Ideally minority holders vote against this, but clearly the company is putting up a white flag saying they're all too incompetent to find any financing. Especially when the existing group owns 91.5% of the company. 

Its almost like the writing was on the wall when they allowed so much of the company to be sold off for pennies and debt repayment. Clearly the board waited too long with Greg Romain at the healm and ran the boat ashore. 

I've been pretty vocal over the years about how they couldnt find a North American partner. 
Shame its come to this.
