It's a specific responsability of the boards members. The president and CEO is a member of that board and he has that responsability. 
So, Since the responsibilities of management are delegated by the CEO and everyone works to ensure that his responsibilities are fulfilled, all employees work directly in this direction.

But in the case of an irresponsible CEO, management will not be blamed since they follow the directives of the CEO, only the CEO and the board.

FYI mangement aren't goverened by a union contract.
