If a person doesn't bother to vote on the "merger"

If a person doesn't bother to vote on the "merger"Is that non vote considered a vote for?  I think that there are a lot of small investors in this company(me included), who might not bother.

I think they need 67% voting for because it is basically a takeover.

Is that 67% of the actual number who do vote?

Or do you need 33% of the total shares with voting rights to vote against.

The trading in NEXG and SGNL....it causing me concern that the vote might not go through.

And that would not be good for either company.
