The question here is, why would people who own over 20 million shares hurt themselves in this way? by selling more shares.
Could it be that collectively owning $40 million of a company might not be appealing as owning , and this is a number from out of the air , $80 million?
Management is aligned with shareholders, which is something you seem not to recognize. It's not like they own a small amount of the company - they own roughly 40%.
Yes, this is management greed but, not in the way you think. It speaks to the size of the opportunity . This remains the only corporate presentation I've ever seen that potentially understates the cost savings.
The market doesn't seem terribly upset by the deal which got upsized
