"The stock price is to low to issue common units."  I disagree.  If GA and associates are the ones subscribing for shares, then the lower the better for them.  But the exact price doesn't matter much, if they end up owning a large majority of the new shares, which will happen if the share issue is for $100 million or more.  So they can propose to issue shares a little above the current market price, and it will be hard for common shareholders to complain that it's a bad deal.
