- I KNOW that there is a CASH CAP - $ 80 million !

- you are TELLING ME (?) that there is ALSO a Newco SHARE CAP !

- THAT does NOT MAKE a CAPITAL STRUCTURE SENSE !

- it is LIKE a FORCED IPO - the MORE Newco shares OUTSTANDING, the GREATER the CASH BALANCE on the Newco BALANCE SHEET
