I tend to agree about the dates coinciding as they keep refering to the payout as one event.

POST-TRANSACTION 2025 CAPITAL EXPENDITURE AND PRODUCTION GUIDANCE

Following closing of the Transaction and payment of the Special Distribution

The only reason I can see that they may split them up is if the deal closes before the shareholders meeting they can payout the dividend without shareholder approval early but not the ROC.

I am not sure why management would care about anyone arbitraging shares or how much they did it.
