this is it.....news release...huhh!!!!Plaintree Solicits Proxies to Appoint Board of Unique Broadband Systems, Inc.
OTTAWA, Canada, March 12 /CNW/ - Plaintree Systems Inc. (Plaintree) (TSE:
LAN, OTC BB: LANPF), a developer and manufacturer of Free Space Optical (FSO)
wireless products, today issued a dissident information circular (Plaintree
Circular) to solicit proxies for the purpose of electing Plaintree's nominees
to the board of directors (UBS Board) of Unique Broadband Systems, Inc. (UBS)
at the annual meeting of shareholders of UBS scheduled to be held in Toronto
on March 18, 2002 (UBS Annual Meeting).
The slate of directors proposed by Plaintree is set out in the Plaintree
Circular and is:
a) independent of the litigation between the current board and former UBS
CEO, Alex Dolgonos;
b) independent of any connection to Mr. Dolgonos; and
c) completely independent of the board proposed by the Committee for
Concerned Shareholders group, widely believed to be associated with
Mr. Dolgonos.
A copy of the Plaintree Circular has been sent to all registered
shareholders of UBS and is also available upon request from the Investor
Relations department of Plaintree by telephone at 274-7979 in Ottawa and
1-888-831-8300 elsewhere, by email at ir@plaintree.com or alternatively
through the internet at www.plaintree.com.
"We would like to see an independent Board at UBS that would consider a
business relationship with Plaintree," said David Watson, President and CEO of
Plaintree. "A relationship between Plaintree and UBS could be the lifeline
that UBS needs to lift it above the myriad of radio frequency (RF) companies
in the market. The benefits to Plaintree would be the addition of an RF back-
up to our FSO system that would provide a communications system with the
highest availabilities in the market place today. We could create a powerhouse
company with a product that would be second to none," continued Watson. "This
is a tremendous opportunity for both companies and it would give the UBS
shareholders a chance to see value for their investment. It will also give UBS
added exposure through Plaintree's access to The Toronto Stock Exchange (TSE)
and the U.S. market through the over-the-counter bulletin board (OTC:BB).
"With the looming deadline of March 18th, we want to provide every
opportunity for UBS shareholders to read our circular and hear what we have to
say before that date. We will also hold a conference call on Thursday, March
14, 2002 at 11:00 a.m. (Toronto time) to provide an overview and answer any
questions on the Plaintree Circular. This is a real opportunity for
shareholders to make their voice heard and vote on the future of UBS."
The conference call will be held on Thursday, March 14, 2002 at
11:00 a.m. (Toronto time). The conference call number is 1-888-881-4892. If
you are unable to attend the conference call at the scheduled time, you can
access a recording of it by calling 1-877-289-8525, followed by the
reservation number 178195#.
