Andrew Goldfields Ltd (2) - News Release St Andrew arranges $2.4-million private placement St Andrew Goldfields Ltd (2) SAS Shares issued 99,189,534 Dec 17 2002 close $ 0.24 Wednesday December 18 2002 News Release Mr. Glenn Laing reports ST ANDREW ANNOUNCES APPROXIMATELY $2.4 MILLION PRIVATE PLACEMENT St Andrew Goldfields has entered into an engagement letter with Griffiths McBurney & Partners with respect to a private placement on a best efforts basis of approximately $2.4-million worth of units, each unit consisting of one common share and one common share purchase warrant. The units are being issued at a subscription price of 20 cents per unit. Each whole warrant entitles the holder to acquire one common share of St Andrew at 30 cents for a period of two years from the closing date. Proceeds from the offering will be used for general corporate purposes. It is anticipated that closing of the offering will occur by Dec. 24, 2002.
