Mandorin Goldfields to raise $100,000 privately Mandorin Goldfields Inc MGD Shares issued 43,141,226 Feb 17 2003 close $ 0.04 Tuesday February 18 2003 News Release Mr. Malcolm Stevens reports Non-brokered private placement Mandorin Goldfields has arranged a non-brokered private placement of up to two million units at a price of five cents per unit to raise gross proceeds of up to $100,000. Each unit will consist of one common share and one common share purchase warrant. One common share purchase warrant will be exercisable to acquire one additional common share at a price of 10 cents for a period of one year following the issuance of the units. The securities issuable in the private placement, including any common shares issued on the shares issued on the exercise of the warrants, will have a hold period of one year from the closing. A finder's fee is payable in respect of a portion of this private placement. The gross proceeds of up to $100,000 are intended to be used to finance exploration and working capital. The private placement is subject to acceptance for filing by the TSX Venture Exchange.
