RE: Earnings...Bonuses should be tied into more than board decisions. Let me see how this works, I hire several people to the board (since I own a good chunk of the voting rights), then I ask them if I deserve a bonus. Major conflict of interest. Especially when the next vote involves bonuses for other board members. Performance of the company, as well as share price performance should be taken into account. If shareholders win, management should win. If shareholders see their investment drop by leaps and bounds, management should watch their bonuses disappear IMHO.
