Have seen cases in a similar proxy fight, where no filling was done on selling. No idea why. But I know that there are certain exceptions. Also any fillings has a Grace period (no idea how long). But you are not required to file in "real time". Not trying to defend EO, yet I believe that ES would do such things. Simply a business man trying to get the best he can, as well.
