Can a public company pass a written resolution?

A public company cannot pass written resolutions. A written resolution is passed when the required majority of eligible members have signified their agreement to it. Both of these decisions require actual meetings of the members to be held and trigger special notice provisions.Written resolution refers to a resolution passed outside a general meeting by members of a private company. Such a resolution can be passed as an ordinary resolution or as a special resolution. Usually, a written resolution does not dismiss a director or auditor of the company.
