(Bullrun), a Company owned by the former CEO of the Company. BullRun entered into a Mining Claims Purchase Agreement (the Purchase Agreement) dated June 2, 2017 with Revival Gold (Idaho) Inc. (Revival), pursuant to which Revival acquired a 75% interest (the Purchased Interest) in certain unpatented mining claims in Lemhi County, Idaho. Pursuant to the Mining Claims Purchase Agreement, Revival agreed to pay BullRun a production Royalty (the NSR Royalty) of one percent (1%) of the net smelter returns from the production and sale of minerals from the Purchased Interest. Pursuant to the Royalty Purchase Agreement, the Company has purchased, for a consideration of $2,500,000, the production royalty of percent (1%) of the net smelter returns from the production and sale of the minerals from Bullrun. Above Royalty Purchase Agreement is subject to the right of first refusal in favour of Revival (the Revival ROFR) which requires BullRun to provide Revival with immediate written notice (the ROFR Notice) should BullRun receive an acceptable bona fide offer (the ROFR Offer) from a third party to purchase all or any part of the NSR Royalty. Revival may, within sixty (60) days following receipt of the ROFR Notice, elect by written notice given to BullRun to purchase all or any part of the NSR Royalty on the terms and conditions specified in the ROFR Notice. In the event Revival fails to elect to purchase in said manner within said period of time (the Revival ROFR Termination), BullRun shall then be free to sell the NSR Royalty in accordance with the terms and conditions specified in the ROFR Notce 4.
