Parkland Fuel Corporation Closes Acquisition of Elbow River Marketing

RED DEER, AB, Feb. 15, 2013 /CNW/ - Parkland Fuel Corporation ("Parkland" or the "Corporation") (TSX: PKI), Canada's largest independent distributor and marketer of petroleum products, today announced that, having received all necessary approvals, it has completed its previously announced transaction to acquire the assets of Elbow River Marketing Limited Partnership ("Elbow River") from AvenEx Energy Corporation (TSX: AVF) (the "Acquisition").  The assets were acquired by Elbow River Marketing Limited, a wholly owned subsidiary of Parkland Fuel Corporation.  All financial figures are stated in Canadian dollars.

The purchase price for the Acquisition consisted of $80 million in cash and the assumption of approximately $15 million in debt for a total of $95 million, representing a purchase multiple of 4.75 times annualized EBITDA of $20 million.

"The closing of this acquisition further demonstrates Parkland's ability to rapidly respond and execute quickly on emerging opportunities in the Canadian marketplace," said Bob Espey, President and Chief Executive Officer of Parkland.  "I want to welcome Elbow River's highly respected team to the Parkland family.  We look forward to working with Elbow River to expand and enhance Parkland's supply relationships and options."

Elbow River markets, transports and supplies petroleum products throughout North America utilizing their fleet of 1,200 rail cars and 270,000 bbls (43 million litres) of leased storage capacity. Through a strong network of relationships, Elbow River is able to connect buyers and sellers of liquefied petroleum gases (butane, propane, and condensate), crude oil, heavy fuel oil, and a growing portfolio of refined fuel and bio-fuel products.  With more than 30 years of experience, Elbow River has developed the logistical capabilities and risk management approach to respond to emerging opportunities both rapidly and profitably.

Following the closing of the Acquisition, Parkland continues to maintain a strong balance sheet with considerable financial flexibility.

And what if the sale were done illegally?   Does Canadian law allow a buyer to keep an asset that is transferred in violation of Canadian law?

It is not illegal unless and until a court declares it to be. Do you know anybody who is prepared to fund such a claim? For what it is worth, even though I was unhappy to see it happen, I do not believe that such a claim has any merit. ER may have been the most profitable part in recent times ( largely because of the depressed price of oil and gas) but that does not mean that it constitutes the ...more

Rodani I suppose a lot depends on the authority of the Alberta Securities Commission.  What are they empowered to do in such cases?    If ASC deemed the transfer illegal, are they empowered to do more than administrative fines?   The legal test appears to be that the asset sale would "prevent...it from continuing to operate as a profitable enterprise."   Since ...more

Very well put rodani.  I agree completely.   Problem talking to them in here is that most of them poured large glasses of whine when this all started and they chug-a-lugged it down and poured more and continued.  Their sorces of whine are far from dried up so I see no change in their thinking for quite while.   Thanx again for the good post.  I voted YES for the merger.

Pone, if there was anything "illegal" about this sale, the ASC, possibly at the behest of an aggrieved shareholder, could have issued a stop order to prevent the transaction proceeding. Normally, if there are valid grounds to protest against  such corporate action you are required to take all reasonable steps to stop it before it happens which might include causing an extraordinary ...more

If they had put the sale of Elbow River up to a vote of shareholders, they would have lost 9 to 1.   No one in his right mind would sell an oil by rail infrastructure play at 5x EBITDA when that market is growing at 25% per quarter!!         Shareholders got raped.

Shame on you.   Sez the king of whiners.    I retired early at a very young age because I could not handle the whiners on the job.  They'd cry even before our day would start.  We could not enjoy a coffee ...more
